The Constitution of The CTY Alumni Association at MIT

Article I. Purpose
The purposes of the CTY Alumni Association at MIT (CTYAA) are to organize social events and to facilitate communications among alumni of the Johns Hopkins Center for Talented Youth (CTY) at MIT, to serve as a point of contact between CTY and its alumni at MIT, to offer courses or mentorships that enhance the educational opportunities available to local CTY students, and to offer its members opportunities to develop their teaching skills.

Article II. Membership
1. Any member of the MIT community is eligible to become a member of CTYAA, except under conditions in which the acceptance of a prospective member would violate clause (2) below.
2. The membership of CTYAA will at all times include at least five MIT students. At least half of the membership will be MIT students.
3. CTYAA will not discriminate based on any characteristic listed in MIT's Non-Discrimination Statement.
4. In the event that CTYAA charges any monetary dues, exceptions will be made for any and all students who cannot afford the full amount of such dues.
5. Members who leave MIT or who are absent from four successive meetings, and who are not active in the projects of CTYAA, may be dropped from the membership at the discretion of the President except under conditions in which such a change would violate clause (2) above.

Article III. Officers
1. This organization will have three officers:

A. President. The President shall represent the group to other organizations and to MIT. The President is expected to solicit and to accept assistance from the membership, and the members are expected to assume a large share of the administrative duties of CTYAA.
B. Treasurer. The Treasurer shall be responsible for the finances of CTYAA. The Treasurer's signature is required on all checks and vouchers issued by CTYAA.
C. Secretary. The Secretary shall take minutes at each meeting. The Secretary is responsible for distributing these minutes to the group members in an efficient and timely manner.
2. All officers of CTYAA must be distinct persons. All officers of CTYAA must be MIT students.
3. Elections.
A. Elections of officers shall occur at a time scheduled by the President in consultation with the membership, within one month of the end of the spring semester. In the event that a vacancy is created by resignation, removal from office, or clear inability of an officer to perform his or her duties, a special election to fill the vacancy shall be held as soon as is practical. Elections may be held at a meeting, or electronically.
B. Any member of CTYAA who is also an MIT student is eligible to run for office.
C. A candidate is elected if he or she wins a majority of the voting members.
D. If no candidate wins a majority, then the person with the fewest votes is dropped from the ballot and the votes are re-cast.
E. Newly elected officers shall assume their offices at the end of the meeting at which their election is announced. Their terms shall run until their successors assume office.
4. Officers may be removed from office by a consensus resolution of the members. Quorum for such a consensus decision is half of the membership.

Article IV. Meetings
1. At least one meeting shall be held each semester. Business may also be transacted by electronic communications.
2. Each meeting will be scheduled and presided over by a facilitator who will be chosen by consensus from among the members of CTYAA. It is expected that the duty of facilitator will rotate among members, and that all members interested in facilitating meetings will have a chance to do so. In the event that the chosen facilitator is absent or there is no established consensus on the choice of facilitator, the President or the President's designee shall assume this duty. Meetings shall be scheduled so as to accommodate the time constraints of as many of the members as possible.
3. The proceedings of each meeting will be transcribed, and distributed to the membership in a timely manner, by the Secretary. In the event that the Secretary is absent, the Treasurer or the Treasurer's designee shall assume this duty. If the Treasurer is also absent, the facilitator shall appoint a secretary to record the meeting.
4. All decisions shall be made by consensus of all members present. The meeting facilitator shall ensure that the concerns and comments of all interested members are voiced and shall assist the group in reaching consensus.

Article V. Amendments
1. Amendments to this constitution may be proposed by any member of CTYAA.
2. An amendment to be proposed must be presented at a regular meeting of CTYAA and posted for discussion on the CTYAA official email list. Both of these events must occur at least three weeks prior to the meeting at which the amendment is to be voted upon.
3. Amendments shall be passed by a vote of 90% of those members present.
4. Quorum for amending this constitution shall be one half of all members of CTYAA.

Article VI. ASA God Clause
CTYAA agrees to abide by the rules and regulations of the Association of Student Activities, and its executive board. This constituion, amendments to it, and the by-laws of this organization shall be subject to review by the ASA Executive Board to insure that they are in accordance with the aforementioned rules and regulations.
